General Counsel

Overview:

xCures is seeking an accomplished General Counsel to lead our legal department and navigate the legal landscape of our rapidly expanding healthcare technology company. This critical role involves overseeing healthcare, privacy, and corporate governance matters, ensuring our operations are legally sound. Reporting to the CEO, the General Counsel will significantly influence xCures’ direction.

Responsibilities:

1. Regulatory Compliance:

  • Ensure company-wide adherence to HIPAA and pertinent data privacy laws in partnership with the CISO.
  • Navigate both domestic and international healthcare regulations.
  • Develop and implement compliance programs and policies.

2. Corporate Governance:

  • Provide legal counsel on board affairs, shareholder relations, and corporate governance obligations.
  • Contribute legal insights to executive decision-making processes.

3. Contract Leadership:

  • Review, negotiate, and draft a range of contracts including BAAs, DUTAs, partnership agreements, M&A terms, and commercial licenses.
  • Work closely with Business Development and Research Partnership teams to ensure efficient deal flow through the deal pipeline.

4. Legal Strategy:

  • Anticipate legal challenges, offering strategic solutions.
  • Collaborate with departments to align strategies with legal parameters.
  • Manage external counsel relationships for cost-effective expertise.

5. Litigation Oversight:

  • Supervise and collaborate with external counsel on legal matters, as needed.

6. Clear Communication:

  • Convey legal concepts to non-legal staff to ensure comprehension and compliance.
  • Conduct training sessions and workshops on legal and compliance topics.

7. Risk Management:

  • Identify compliance vulnerabilities and develop risk-mitigation strategies.
  • Participate as a member of the Compliance Committee

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission in good standing to a US state bar.
  • Minimum 10 years of legal experience, preferably in healthcare, health tech, life sciences, or pharmaceuticals.
  • Comprehensive understanding of HIPAA and privacy regulations.
  • Proven experience in corporate governance and commercial transactions.
  • Familiarity with international healthcare norms, if applicable.
  • Strong communication, negotiation, and leadership skills.
  • Ability to create legal defensive or proactive strategies.
  • Exemplary professional ethics and integrity.

Preferred Qualifications:

  • Experience with startups or growth-stage companies.
  • International legal experience, particularly in healthcare.
  • Knowledge of IP (US and international), particularly patent prosecution, licensing, and litigation strategies – sufficient to liaise with external counsel.
  • Working knowledge of trademark, copyright, and trade secret

Compensation: $150,000 – $250,000 annually
