About the Role / Key Responsibilities
As our first dedicated Senior Corporate Paralegal, you will be a foundational member of the legal and operations team. Reporting to the General Counsel, you will play a critical role in managing our corporate governance, equity programs, and legal processes. You are someone who thrives in a fast-paced environment where “owning” a process is the norm. You will be responsible for ensuring xCures maintains high standards of corporate hygiene as we scale our operations and prepare for future growth milestones.
Responsibilities
- Corporate Governance: Manage domestic and international subsidiary maintenance, prepare board and committee meeting materials, draft minutes, and maintain the corporate minute books.
- Equity Administration: Serve as an administrator for our equity platform (e.g., Carta). Manage stock option grants, exercises, and cancellations, and partner with HR and Finance to ensure cap table accuracy.
- Financing/M&A: Provide essential support for future venture financing rounds, debt facilities, and potential M&A activity, including managing data rooms and coordinating due diligence.
- Compliance & Filings: Coordinate state and federal filings, insurance applications, and partner with other functions on regulatory filings.
- G&A Operations: Build and refine internal processes to increase efficiency across the G&A function, including implementing or optimizing AI tools.
- HR Support: Act as a partner to internal HR function as necessary, to assist with applicable filings, documentation and/or process.
Preferred Qualifications
- Experience: 8+ years of experience as a corporate paralegal, with experience at a high-growth, venture-backed technology or biotech company.
- Education: Bachelor’s degree and a Paralegal Certificate from an ABA-approved program (or equivalent experience).
- Equity Expertise: Power-user level experience with Carta or similar equity management software.
- Drafting Skills: Strong ability to draft corporate resolutions, officer certificates, and basic documentation with high attention to detail.
- Adaptability: A “no task is too small” mentality with the ability to pivot between high-level strategic support and detailed administrative work.
- Communication: Exceptional written and verbal communication skills, with the ability to interface effectively with executives, board members, and external counsel.

Location
This is a remote position open to candidates based anywhere in the US. Anticipate light travel (e.g., 4-8 times per year) within the US for in-person team activities, customer research and implementation support, etc.
